IMO questions and answers

Brokers compete with prospectuses, the community chooses the winner with its own money, and everyone buys at the same price. Here is how, in short.

How an IMO runs
  1. Brokers file prospectusesEach one sets the terms: price range, supply, fees, strategic holdings and lock-ups.
  2. You back the one you preferYour deposit is your vote and your purchase. Once in, it stays: if another prospectus wins, it all comes back to you.
  3. The most backed winsMore than half of all deposits, or a short runoff between the top two.
  4. Launch at one priceEveryone buys at the IMO price. Backers of the others get every coin back.
  5. Trading opensAbove the IMO price. Tokens bought in the IMO unlock gradually.

The idea

What is new here?

Nobody has taken memestocks this far. A memecoin on its own is a bet on attention; a memestock is quoted against a basket that holds the company's real tokenized stock, ₸USD and strategic holdings, and every trade feeds that basket, burns part of it and pays the people who keep the memestock alive. It is built to be fun, but above all to grow for years and to give value to the holder, not to a founder.

What is an IMO?

An Initial Memestock Offering: the first sale of a memestock, before its market opens. Like an IPO round, everybody buys at the same price, set by demand when it closes, and the tokens then unlock gradually. There is no race: buying in the first minute or in the last gives exactly the same price.

Why can't bots and snipers win here?

Every mechanism is built so that being fast or being a bot gains nothing:

  • No opening fee that starts high and decays over the first minutes: that trick does not stop bots, it just makes the earliest real buyers pay for them. The sale is over before the market exists.
  • Everyone pays the same final price, whenever they came in.
  • Each wallet has a ticket, a maximum it can buy, so nobody takes the whole sale.
  • Tokens bought in the IMO unlock gradually after a cliff, so buying to flip on day one is impossible.
  • A deposit can never be moved or taken out, and a late change of leader extends the clock, so last-second tricks do not work.
  • The whole sale happens before the market opens, and the market opens above the IMO price: there are no first blocks to snipe.
  • The market's first purchase is made by the backers and the burn vault, before public trading opens, at the price the public then pays.
  • Deposits stay in the contract and can only ever go back to the wallet that paid them.
What does this design actually reward?

Three things, and every rule points at them:

  • Scarcity: part of every trade's fee is burned across the whole basket, so the supply only goes down and what stands behind each token only goes up.
  • Time: tokens bought in the IMO unlock slowly, and the longer a wallet is willing to lock, the bigger the ticket it is allowed. The broker's own purchase is locked longest of all, and the brokerage is paid by the trading fee for as long as the token trades, not by the launch.
  • Competition: several brokers file for the same memestock and the deposits pick one. Backers are judging the terms, the brokerage behind them and who else is backing it, so the prospectus that wins is the one most people want to live with for years.
Why do the IMO backers matter so much?

They are not just money, they are the shape of the launch. Who backs a prospectus decides which one wins at all, and their choices carry into the market: every backer picks how long their tokens take to unlock, and a longer lock earns a bigger ticket, so a round carried by patient backers launches with much more of the supply locked and far less of it able to hit the market early. A wallet's record is public: you can see what it has backed before, how long it held and whether it was still there a year later. Backing well is a reputation, and brokers court it.

Who are the brokers?

People who have shown long-term conviction: to become a broker you lock at least $500 of ₸USD in Turbo staking and found a brokerage. A brokerage can be one wallet or a team with a leader. The broker designs a launch, buys into it first at the same price as everyone and keeps those tokens locked longer than anyone else. In return the brokerage earns a small share of every trade, fixed forever at launch.

What is a prospectus?

A broker's complete offer for how the memestock launches: its name, its supply, how much of the supply is on sale, its minimum and maximum market cap, the opening premium, the trading fee and where it goes, the strategic holdings in its basket, and the broker's own purchase and lock-up. Once filed it cannot be edited: what you back is exactly what launches.

Who can file a prospectus?

Any broker, one per wallet, while the IMO is open and until its final hours. Filing takes the broker's own purchase on the spot, refunded in full if another prospectus wins. That purchase can be 5% of the supply with the minimum 12-month unlock, and up to 10% with a 24-month one, at the same price as everyone else. The broker can also commit an amount for the burn vault, bought in the market's opening purchase. A prospectus also names its strategic holdings and the share of the basket each one gets (at least 0.1%, in steps of 0.1%).

How is the winner chosen?

By the people who put money in. Backing a prospectus is your vote and your purchase at the same time. When the IMO closes, the prospectus with more than half of all deposits wins; if none has, the top two go to a short runoff. People back what they trust most: the tokenomics and mechanics the broker chose, the broker and its reputation, the strategic holdings, the lock-ups and burns that make it safer. Brokers compete on the best offer, not on speed.

Why take part

Why would a broker launch an IMO?

Because launching through an IMO is the best seat at the table:

  • A guaranteed allocation: 5% of the supply, up to 10% with a longer unlock, at one price with no slippage, never scaled down.
  • A secured price: the IMO price, the same as the backers, below where the market opens.
  • No snipers or bots: the broker buys before the market opens, at one price.
  • Trading fees for good: the brokerage earns its share of every buy and sell, for as long as the market trades.
  • Reputation: every launch stays on chain with the brokerage's name, and a good record wins the backing of the next IMOs.
  • In exchange, the broker's tokens unlock last: a 30-day cliff, then at least 12 months.
Why buy in the IMO instead of after the launch?
  • An allocation at the IMO price: up to 0.5% of the supply per wallet, filled at once with no slippage.
  • A better price: everyone pays the IMO price, and the market opens above it.
  • First in line at the open: backers can also buy more in the market's very first purchase, before any bot, at the price the public then pays.
  • No snipers or bots: the price is the same at any moment, and nobody trades before the backers have bought.
  • Protection: if your prospectus loses or the IMO fails, your money goes back to your wallet.
Backing the IMO locks my tokens: what do I get in return?Backers' edge

The right to buy first when the market opens. When you deposit, you can add an extra of up to your ticket again. It is bought in the opening purchase, right after the launch and before public trading opens: before any bot and before anyone who did not back the IMO. You pay the first public price, and those tokens are not locked, so they balance the slow unlock of your IMO tokens. If the IMO is oversubscribed, the part of your deposit that is cut back can buy there too.

Why does an IMO help the memestock itself?

Because from the first block its supply is in the hands of convicted holders. IMO tokens unlock gradually, the broker's last of all, so nobody can dump the launch; there is no race to win, so jeets and bots gain nothing; and everyone is aligned, because the backers chose this broker's prospectus over the others with their own money. It does not guarantee the price, but it gives the market a much healthier start than a race of bots.

Buying in the IMO

How do I take part?

Connect your wallet, choose over how many months your tokens unlock, and back the prospectus you prefer with ETH, USDC or the IMO's quote token. Once deposited, it stays in that prospectus, so choose carefully: if another one wins, you get it all back. There is no rush: everyone pays the same final price.

Can I pay with ETH or USDC?

Yes. Every IMO is priced in its own quote token, shown on its page. ETH and USDC are swapped into it on Uniswap in the same transaction and deposited in your name. If you already hold the quote token, you put it in directly. Anything refunded comes back in the quote token.

How much can I buy?

Your ticket is a share of the supply, set by how long your tokens take to unlock: 0.05% over 1 month, 0.1% over 3, 0.2% over 6 and 0.35% over 12. ₸USD stakers get up to 0.15% more: the more ₸USD staked and the longer it stays locked, the bigger the extra. Nobody can go beyond 0.5%.

Why does a longer unlock give a bigger ticket?

Because the IMO is meant to put the supply in the hands of people who stay. Snipers and jeets who only want a quick flip gain little from a fixed price and a slow unlock, while long-term holders get the biggest allocations. That keeps the first weeks of trading calmer for everyone.

When do I get my tokens?

After the launch there is a one-week cliff. Then your tokens unlock a little every second over the months you chose, and you claim them whenever you like.

What if more money comes in than there are tokens on sale?

Every backer is scaled down by the same proportion, whenever they came in; the broker's own purchase is not. The part of your deposit that could not be used goes back to your wallet or, if you ticked that option when depositing, into the market's opening purchase. Nobody is left out for being late.

What is the opening purchase?

The market's very first purchase, made right after the launch and before public trading opens, so no bot can get in front of it. It gathers the broker's buy for the burn vault and two optional orders from backers: their leftover over the hard cap, and an extra amount of up to their own ticket again, chosen when they deposit. Everyone in it pays the price it ends at, the same as the first public buyer, so nobody gets an instant gain over them; the tokens the curve gives beyond that price are burned. These tokens are not locked. The purchase has a size limit, so there is always room for public buyers.

Is that fair to people who buy after the open?

Yes. They pay the same price, and the opening purchase cannot take more than a limited share of the market's tokens. It is a small right earned by backing the IMO and accepting its lock-up: at most your ticket again. Anyone can become a backer.

What if my prospectus loses, or the IMO fails?

If another prospectus wins, you take back everything you put in, in the quote token. If the IMO raises less than its minimum, everyone is refunded. If the winner is not launched within 3 days, the IMO is cancelled and everyone gets their money back. Refunds only ever go to the wallet that deposited.

After the launch

Who launches the winner?

Once the IMO closes, the winning prospectus is launched exactly as it was filed: everyone's purchase is made at the IMO price in that same step, and the market opens at the premium the prospectus fixed.

What is in the basket?

Real liquidity, held by the memestock's own contract, which nobody can withdraw. Every buy fills its basket: ₸USD, the tokenized stock and strategic holdings. BRK.M, for example: 50% ₸USD, 25% the stock and 25% shared by its strategic holdings at the shares its prospectus set.

Who decides the strategic holdings later?

The holders of that memestock, by vote: which strategic holdings, and each one's share. To propose a change you lock at least 0.5% of the supply; to vote you lock any amount, and you get it all back when the vote ends. A change needs more yes than no and a turnout of 10%; the vote lasts 7 days and the result applies 2 days later. Votes open once the IMO backers' first tokens have unlocked, so they can take part. ₸USD and the stock can never be changed, and brokers have no special vote.

Where do the trading fees go?

A fee is charged on every buy and every sell, from 0.5% to 5%, set by the prospectus. In our example it is 1%, a quarter each: burned, to the brokerage, to the holders and to the management vault. The burn always follows the basket: ₸USD, the tokenized stock and each strategic holding by its weight. Everything else is paid in the stock and the strategic holdings, never in ₸USD. How the fee is split is fixed forever at launch.

Why burn across the whole basket, and not just the memestock?

Because every trade then makes every token in the basket scarcer: ₸USD, the company's tokenized stock and each strategic holding. The projects behind those tokens benefit directly from our volume, so it is in their interest that we do well. And every burn is a public event on chain that can be posted automatically, ticker included: a steady stream of attention that costs nothing.

Why would other projects want to be in a basket?

Because half of every buy of a memestock turns into ₸USD and a quarter into its strategic holdings: constant buying of their token from every trade we make, plus a share of every burn. Being added to a basket is worth competing for, and the holders decide who gets in. The same goes for ₸USD, which is in every basket.

Don't holder rewards create selling pressure?

Not on the memestock. Rewards are paid in the stock and the strategic holdings, never in the memestock itself and never in ₸USD, so the only thing a holder can sell is small amounts of other tokens, spread over time. That is barely visible in those markets and invisible in the memestock's own. Holding is rewarded without anyone having to sell what they hold.

What is the management vault?

A memestock can have a board: a CEO, a Chief Meme Officer and any other title the holders decide to create. The holders elect them by vote. Their share of the fee goes into a vault that only those elected wallets can withdraw from, paid in the stock and the strategic holdings, never in ₸USD. The idea is simple: people paid to keep the memestock alive with content and activity, chosen by the people who hold it.

Can other projects use the management vault?

Yes. It is a public contract: any project listed on memestock.market can deploy its own vault, set its titles and wallets and point its reward contracts at it. Our memestocks are just one user of it. A tool every project can run from our hub brings every project to our hub.
